Certificate of Insurance (COI) Requirements for Suppliers

Summary: Review UCSC's Certificate of Insurance requirements for suppliers of goods and services, as specified in BUS-63.
Send all Certificates of Insurance, as evidence of coverage, to UCSC Purchasing.

Per university policy, individuals and organizations providing goods and/or services to the university are required to maintain throughout the period of time such suppliers are doing business with the university, and at such suppliers' sole cost and expense, a policy or policies of general liability and other applicable insurance protecting both the supplier and the Regents of the University of California (Regents) from any and all claims, demands, judgments, awards and lawsuits arising out of the sale of any product or the furnishing of any service to the University (UCSC). Service providers not exempted from insurance requirements, and providers of high risk goods will need to provide a Certificate of Insurance as evidence of meeting the applicable insurance requirements.

Certificates of Insurance are not required from Public Agencies.

All Certificates of Insurance Issued to the University:

  1. Must provide thirty (30) days' advance written notice to the University of any modification, change, or cancellation of any component of the insurance coverage.
  2. Except for Professional Liability and Workers' Compensation Insurance, must name The Regents of the University of California as an additional insured party. Such a provision shall apply in proportion to and to the extent of any negligent acts or omissions of the non-University party or any person or persons under the non-University party's direct supervision and control.
  3. For Professional Liability coverage, must include Contractual Liability Coverage and Defense and Indemnification of The Regents by the contracting party. Although defense and indemnification language may be standard in an insurance policy, to ensure appropriate coverage, the contract should specifically include the aforementioned defense and indemnity language.
  4. For General Liability coverage, must include a Primary and Non-Contributory provision and a Severability of Interest provision. These provisions may be standard in an insurance policy form. If not, endorsements are required.
  5. Any insurance written on a claims made policy form shall provide for not less than three (3) years continuation of coverage following the end of services.

Responsibility

When a Certificate of Insurance is required, Purchasing will ensure that this requirement has been met before the commencement date of the purchase order.
